Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Propaiire (“Propaiire,” “we,” “us”) governing your access to and use of the Propaiire website, applications, and services (the “Service”). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Propaiire helps real estate professionals generate property listings and marketing content using artificial intelligence, public records, and data you provide. The Service produces drafts you are responsible for reviewing. Listing details, valuations, comparable sales or rents, and AI-generated descriptions may be incomplete or inaccurate and are not professional, legal, financial, or appraisal advice.

2. Eligibility and Accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You are responsible for the accuracy of your account information and for maintaining the security of your login credentials.
  • You are responsible for all activity under your account and for ensuring your use complies with your brokerage’s policies, your MLS rules, licensing requirements, and applicable fair housing and advertising laws.

3. Subscriptions, Billing, and Automatic Renewal

Paid plans (currently Pro at $49/month and Premium at $199/month) are recurring subscriptions billed through our payment processor, Stripe.

  • Automatic renewal. Your subscription automatically renews each month and your payment method is automatically charged the then-current monthly fee at the start of each billing period until you cancel. There is no fixed end date.
  • Authorization. By subscribing, you authorize Propaiire and Stripe to charge your payment method on a recurring monthly basis for the fees and any applicable taxes, until you cancel.
  • Price changes. We may change subscription prices. We will give you advance notice, and changes apply to the next billing period after the notice. Continuing to use a paid plan after a price change takes effect constitutes acceptance.
  • Taxes. Fees are exclusive of taxes, which may be added where required.

One-time purchases (such as the $19 per-property unlock) are not subscriptions, do not renew, and are charged a single time.

4. Cancellation and Refunds

You can cancel your subscription at any time from your account (“Manage subscription”), which opens a self-serve billing portal. Cancellation stops future renewals; you keep access until the end of your current paid period. Billing, cancellation, and refund details are in our Cancellation & Refund Policy, which is part of these Terms.

5. Your Content and Uploaded Photos

You retain ownership of the property information, descriptions, and photos you upload or create (“Your Content”). You grant Propaiire a worldwide, non-exclusive license to host, process, display, and distribute Your Content as needed to operate the Service, including displaying it on the Propaiire marketplace and, at your direction, publishing it to third-party listing destinations and MLSs. You represent that you have all rights necessary to upload Your Content and to grant this license, and that it does not infringe anyone’s rights or violate any law.

6. AI-Generated Content

The Service uses AI (including third-party models) to generate text and analyze images and data. AI output can be wrong, outdated, or misleading. You are solely responsible for reviewing, correcting, and verifying any output before relying on it, publishing it, or submitting it to an MLS or consumers, including for accuracy and for compliance with fair housing, advertising, and MLS rules.

7. Acceptable Use

  • Do not use the Service unlawfully, or to infringe or misappropriate others’ rights.
  • Do not upload content you lack the rights to, or that is unlawful or deceptive.
  • Do not attempt to disrupt, reverse-engineer, scrape, or gain unauthorized access to the Service.
  • Do not misrepresent a property or violate fair housing or advertising laws.

8. Third-Party Services

The Service relies on third parties including Stripe (payments), OpenAI (AI processing), Google/Firebase (authentication, storage, maps), and listing destinations such as MLSs and portals when you publish. Your use of those destinations may be subject to their own terms. We are not responsible for third-party services.

9. Intellectual Property

The Service, including its software, design, and branding, is owned by Propaiire and protected by law. These Terms do not grant you any rights in the Service except the limited right to use it as permitted here.

10. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that output is accurate or that the Service will be uninterrupted or error-free.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPAIIRE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

12. Indemnification

You will indemnify and hold Propaiire harmless from claims arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. Sections that by their nature should survive termination will survive.

14. Changes to These Terms

We may update these Terms. If we make material changes, we will update the date above and, where appropriate, provide notice. Continued use after changes take effect constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and you consent to the exclusive jurisdiction of the state and federal courts located in New York for any dispute, except where applicable law provides otherwise.
